This study examines research contracts within the context of university-industry collaborations (science-to-business, S2B), considering OECD recommendations and the new Hungarian innovation law effective January 1, 2015. It highlights that universities becoming "entrepreneurial universities" and attracting private capital are crucial for utilizing research outcomes in the market. The author analyzes the legal frameworks of knowledge transfer, various contractual forms (e.g., assignment, licensing agreements), and especially the sui generis nature of research contracts. It investigates whether a research contract constitutes a result-oriented obligation and whether the researcher bears the risk of failure, referring to the relevant provisions of the Civil Code. The study aims to identify the defining characteristics of research contracts and demonstrate that they primarily target the creation of technology rather than technology transfer.
